UAE Non-Compete Rules Before You Join a Competitor

UAE Non-Compete Rules Before You Join a Competitor
Quick Summary
  • A UAE non-compete can apply to workers with client knowledge or access to business secrets.
  • The clause must state the time, place and restricted work, with a maximum period of two years.
  • Check your MOHRE contract and seek a written waiver before joining a competitor.

If you’re leaving a UAE job for a competitor, don’t rely only on what your manager or recruiter says. Check the non-compete wording in your registered employment contract before accepting or starting the new role.

Under Article 10 of the UAE Labour Law, an employer may use a non-compete clause when a worker’s duties provide knowledge of clients or access to business secrets. The clause may continue after resignation, but clear limits apply.

When a Non-Compete May Apply

A non-compete isn’t meant to restrict every worker simply because they resign. The law connects it to roles where the employee learned about the employer’s clients or had access to work secrets.

The restricted work must also be capable of causing significant harm to the employer’s legitimate interests. If a dispute reaches court, the former employer has the burden of proving the alleged damage.

This makes your real job duties relevant. For example, consider whether you handled customer accounts, confidential commercial information or business secrets. Keep records that show what your role actually involved, without taking or sharing any confidential company material.

Check the Time, Place and Type of Work

The clause must specify three main points:

Advertisements
  • Time: How long the restriction lasts.
  • Place: The geographical area covered.
  • Type of work: The exact work or activity you’re restricted from doing.

These limits must be no wider than needed to protect the employer’s legitimate business interests. The non-compete period cannot exceed two years from the employment contract’s expiry date.

Retrieve your registered contract through MOHRE’s employment offers and contracts service, then read the actual clause. Compare it with the new job’s duties, location and business activity. A job title alone may not tell you whether the work overlaps, so compare what you would really be doing.

If you have more than one document, check the version registered with MOHRE rather than relying only on an old offer letter or an informal copy. You can also read GluJob’s Gulf job guides for practical help with UAE employment documents.

When the Restriction May Not Apply

The implementing regulation says the non-compete does not apply when the reason for ending the contract is attributable to the employer or to the employer’s breach of legal or contractual obligations. It also exempts a worker whose contract is terminated during probation.

The former employer and worker may agree in writing not to enforce the clause after employment ends. A verbal promise is risky because the regulation specifically allows a written agreement.

Another exemption may be agreed if you or the new employer pays compensation. The amount cannot exceed three months of the wage stated in your last contract, and the former employer must give written consent.

If you use this option, the documents should clearly record the former employer’s consent, the agreed amount and whether you or the new employer will pay it.

What to Do Before Joining a Competitor

  1. Download and review your registered MOHRE employment contract.
  2. Mark the clause’s duration, geographical area and restricted type of work.
  3. Compare the restriction with your actual old duties and proposed new duties.
  4. Keep your resignation, termination, handover and confidentiality records.
  5. Ask the former employer for a written waiver or written settlement if needed.
  6. Do not depend on a verbal assurance from either employer.

An employer’s claim for breach of Article 10 will not be heard after one year from the date it discovers the alleged violation. If there is already a disagreement, you can register a labour complaint through the MOHRE website, mobile application or Labour Claims and Advisory Call Centre at 80084.

Your first step is simple: retrieve your registered contract and read the non-compete clause before confirming your joining date.
